Terms of Service

1. Acceptance of Terms

By accessing or using the DEADREAD website and services (“the Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you must not access or use the Platform. These Terms constitute a legally binding agreement between you and DEADREAD.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Platform. By using the Platform, you represent and warrant that:

• You meet the minimum age requirement
• You are legally permitted to play poker in your jurisdiction of residence
• Your use of poker coaching services does not violate any applicable law, regulation, or third-party agreement
• You have the legal capacity to enter into this agreement

DEADREAD does not provide legal advice regarding the legality of online poker in your jurisdiction. You are solely responsible for ensuring compliance with your local laws.

3. The Program

DEADREAD operates a coaching for profit (CFP) program for poker players. Acceptance into the program is at our sole discretion. Submitting an application does not guarantee acceptance. We reserve the right to reject any application for any reason or no reason, without obligation to explain our decision.

4. Member Obligations

Accepted members agree to:

• Maintain agreed-upon volume and study commitments as outlined in their CFP agreement
• Attend scheduled coaching sessions or provide reasonable advance notice of absence
• Act with integrity at the tables at all times, including strict compliance with poker site rules
• Not share, reproduce, distribute, or make available proprietary coaching materials with non-members or any third party
• Not use bots, real-time assistance software, or any tools prohibited by poker sites during play
• Provide accurate and truthful information in applications and all communications
• Comply with all applicable laws, regulations, and poker site terms of service

5. CFP Agreement

The specific terms of any coaching for profit arrangement — including profit splits, duration, stakes, volume requirements, and financial obligations — are outlined in a separate CFP contract provided upon acceptance. These Terms of Service govern general use of the Platform; the CFP contract governs the coaching and financial relationship. In the event of a conflict between these Terms and the CFP contract, the CFP contract shall prevail with respect to coaching and financial matters, and these Terms shall prevail with respect to Platform use.

6. Intellectual Property

All coaching materials, videos, courses, solver files, training resources, and other content provided through DEADREAD (“Content”) are our intellectual property or are used under license. All rights are reserved.

Limited license: as an accepted member, you are granted a limited, non-exclusive, non-transferable, revocable license to access and view the Content solely for your personal educational use in connection with the DEADREAD program. This license terminates automatically upon termination of your membership.

You may not:

• Reproduce, copy, distribute, or publicly display any Content
• Download, screen-record, or create derivative works from video Content
• Share login credentials or allow non-members to access the Platform
• Use Content for commercial purposes outside of your own poker play

User content: if you submit content to the Platform (such as hand histories, videos, or session notes), you retain ownership but grant DEADREAD a non-exclusive, royalty-free license to use such content for coaching, training, and service improvement purposes. We will not publicly share identifiable user content without your consent.

7. Termination

By DEADREAD: we reserve the right to suspend or terminate any membership at our discretion, including for failure to meet volume commitments, violation of these Terms, breach of the CFP agreement, dishonest conduct, or conduct detrimental to the program. Where reasonably practicable, we will provide 14 days' written notice before termination, except in cases of serious breach (fraud, cheating, or material dishonesty), where termination may be immediate.

By the member: you may leave the program subject to the terms of your CFP contract. Voluntary departure does not relieve you of any outstanding financial obligations under the CFP agreement.

Effect of termination: upon termination, your access to the Platform and all Content will be revoked. You must immediately cease using and destroy any downloaded or saved Content. Any provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive.

8. Financial Risk Disclaimer

Poker involves inherent and significant financial risk, including the risk of losing your entire bankroll. By using the Platform, you acknowledge and agree that:

• DEADREAD does not guarantee any specific results, winrates, earnings, or return on investment
• Past performance of our coaches, members, or the program does not guarantee future results
• Variance is an inherent part of poker and can result in sustained losing periods regardless of skill level
• You are solely responsible for your own bankroll management and financial decisions
• Coaching is educational in nature and does not constitute financial advice, investment advice, or gambling advice
• You should not play with funds you cannot afford to lose

9. Disclaimer of Warranties

The Platform and all Content are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, DEADREAD disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, DEADREAD, its coaches, officers, employees, and affiliates shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Poker losses, bankroll depletion, or negative financial outcomes
• Damages arising from reliance on coaching advice or strategies
• Service interruptions, technical failures, or data loss

Our total cumulative liability arising out of or related to these Terms shall not exceed the amounts, if any, paid by you to DEADREAD in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be legally excluded or limited, including liability for fraud.

11. Indemnification

You agree to indemnify, defend, and hold harmless DEADREAD, its coaches, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your poker play or gambling activities; (d) your violation of any applicable law or third-party rights; or (e) any content you submit to the Platform.

12. Dispute Resolution

Informal resolution: before filing any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at legal@joindeadread.com. We will attempt to resolve the dispute within 30 days.

Arbitration: if the dispute is not resolved informally, any controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration. The arbitration shall be conducted in English. Judgment upon the arbitral award may be entered in any court having jurisdiction thereof.

Class action waiver: you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to conflict of law principles. To the extent that litigation is permitted under Section 12, the courts located in Spain shall have exclusive jurisdiction over any disputes arising under these Terms. If you are a consumer residing in the European Union, you retain any mandatory consumer protections provided to you under the laws of your country of residence.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Platform before they take effect.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

16. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any applicable CFP contract, constitute the entire agreement between you and DEADREAD regarding your use of the Platform. These Terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and DEADREAD regarding the subject matter herein.

17. Force Majeure

DEADREAD shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet or infrastructure outages, pandemics, cyberattacks, or failures of third-party services (including poker sites, Zoom, or hosting providers).
